Terms of Service

Effective 2026-05-21. Version 1.0.

1. The agreement

These Terms form a contract between Sila Technologies B.V.("Michi", "we") and the organisation or individual using the service ("Customer", "you"). By creating an account, you accept these Terms.

2. The service

Michi is a CRM with email and meeting-intelligence features for founders. We grant Customer a non-exclusive, non-transferable right to use the service for the term of the subscription, subject to the plan limits described at /pricing.

3. Accounts

• You are responsible for keeping your credentials confidential and for all activity on your account.
• Email verification is required to create an organisation.
• Two-factor authentication is strongly recommended for all owners and admins.
• You will not let anyone outside your organisation use your account.

4. Acceptable use

You agree not to:

• Upload content that is unlawful, infringing, defamatory, or contains malware.
• Reverse engineer the service or attempt to bypass security or rate limits.
• Use the service to send unsolicited bulk email or spam.
• Process Article 9 GDPR special-category data without prior written agreement.
• Use the service to compete with Michi or build a competing product.

We may suspend or terminate accounts that violate these rules.

5. Customer data and ownership

Customer retains all rights to data it uploads or generates within the service. Customer grants Michi a limited licence to host, process, transmit, and back up that data solely to provide and improve the service. Michi does not use Customer data to train AI models and does not sell or share Customer data outside the sub-processor list at /security/sub-processors.

6. Fees and billing

• Subscriptions are charged monthly or annually in advance via Stripe.
• Plan limits and prices are published at /pricing and may change with 30 days notice. Existing annual contracts are honoured at the original price.
• VAT is added where applicable (EU customers in Belgium and intra-EU under reverse charge rules with valid VAT ID).
• Late payments incur 1.5% monthly interest. We may suspend the account 14 days after an unpaid invoice.
• Refunds: monthly plans are not refundable. Annual plans are refundable on a pro-rata basis if Michi materially changes the service to your detriment.

7. Cancellation and deletion

• Cancel any time from Settings → Billing. Cancellation takes effect at the end of the current billing period.
• Account deletion can be requested from Settings → Security & Privacy. We send a confirmation email; if not reversed within 30 days, all customer data is permanently deleted (subject to backup rotation, max 30 days).
• Export your data before deletion using Settings → Security & Privacy → Export.

8. Availability and support

• Target uptime: 99.9% monthly excluding scheduled maintenance.
• Status page: status.michiplatform.com.
• Support via in-app Crisp chat and support@michiplatform.com. Response targets: 24h Free, 8h Pro, 4h Team, 1h Enterprise.

9. Data processing

The Data Processing Agreement at /security/dpais incorporated into these Terms by reference for all paid plans.

10. Intellectual property

Michi retains all rights in the service, software, and trademarks. Customer feedback is licensed to Michi non-exclusively, royalty-free, to use for product improvement.

11. Warranties and disclaimers

The service is provided "as is". We disclaim all implied warranties to the extent permitted by Belgian law. The AI extractions are provided on a best-effort basis and may contain errors — Customer is responsible for reviewing them before acting.

12. Limitation of liability

To the extent permitted by law, Michi's aggregate liability for any claim is capped at the fees Customer paid in the 12 months preceding the claim. We are not liable for indirect, consequential, special, or punitive damages, lost profits, or lost data — except to the extent such damages result from our gross negligence or wilful misconduct.

13. Indemnity

Customer indemnifies Michi against any third-party claim arising from Customer's content or its breach of these Terms. Michi indemnifies Customer against any third-party claim that the service infringes a third-party IP right, subject to standard exclusions.

14. Termination

We may terminate the service for material breach with 14 days' notice (or immediately for fraud, illegal content, or repeated abuse). On termination, Customer's right to access the service ends; export is available for 30 days under Section 7.

15. Changes

Material changes are emailed to all customers at least 30 days in advance. Continued use after the effective date constitutes acceptance.

16. Governing law and jurisdiction

These Terms are governed by Belgian law. Disputes are subject to the exclusive jurisdiction of the courts of Antwerp, subject to mandatory consumer-law provisions where applicable.

17. Miscellaneous

• If any clause is unenforceable, the rest remains in force.
• No waiver unless in writing.
• Customer may not assign these Terms without Michi's consent. Michi may assign on a change of control.
• These Terms together with the DPA constitute the entire agreement.
